Freshworks Acquires Torii, Expanding IT Management Into SaaS Visibility and AI Spend Governance

-

Freshworks has acquired SaaS management platform Torii, expanding its Freshservice offering beyond traditional IT service management into software visibility, licence optimization and AI spending governance.

The agreement was initially announced on October 12, 2026, and Freshworks officially welcomed Torii into the company on October 19. Financial terms of the acquisition were not disclosed.

What the Acquisition Brings

Torii helps organizations identify the SaaS applications and AI tools being used across their business. Its platform provides visibility into software usage, licences, users, ownership, access permissions and associated costs.

The technology is designed to help IT and finance teams identify unused subscriptions, manage software renewals, automate access-related workflows and reduce spending on applications that are no longer needed.

A particularly relevant capability is its ability to track AI consumption at the token level, attribute usage to individual employees and departments, and forecast future costs. This gives organizations more control over AI expenditure as consumption-based pricing becomes increasingly common.

Why Freshworks Is Expanding Into SaaS Management

Businesses are adopting SaaS applications and AI tools across departments, often without centralized IT oversight. This creates challenges around software spending, security, access management and compliance.

Traditional IT service management platforms are primarily designed to manage employee requests, incidents, devices and infrastructure. They do not always provide a complete picture of which applications employees are using or how much those tools cost.

By bringing Torii into Freshservice, Freshworks aims to connect IT service operations with software discovery, usage monitoring and spending oversight.

Key Business Implications

The acquisition supports several priorities for enterprise IT teams:

  • SaaS cost optimization: Identify inactive licences, overlapping applications and unnecessary subscriptions.
  • Shadow IT visibility: Discover software and AI tools being used outside approved IT processes.
  • AI spending control: Monitor token-level consumption, allocate costs to teams and identify unexpected increases.
  • Access governance: Improve visibility into application access and automate employee onboarding and offboarding workflows.
  • IT and finance alignment: Give both departments a more consistent view of software usage, ownership and expenditure.

What It Means for Freshservice

The acquisition strengthens Freshworks’ broader strategy to expand Freshservice into a more connected IT operations platform.

Freshworks has also invested in IT asset and infrastructure visibility through Device42. Torii adds the software and AI management layer, complementing existing capabilities around hardware, infrastructure and IT service workflows.

The longer-term objective is to bring applications, licences, identities, infrastructure and spending information into a more unified operational environment. This could also provide AI-powered workflows with better context to make decisions and carry out IT tasks within defined organizational controls.

What Organizations Should Watch Next

The strategic direction is clear, but the practical value will depend on product integration and how effectively the combined capabilities work within existing IT environments.

Freshworks has stated that existing Torii products, customer support arrangements and commitments remain in place while integration plans progress. A detailed combined-product roadmap and pricing changes have not yet been announced.

For enterprise IT leaders, the acquisition reflects a broader shift in technology management: controlling software expenditure is no longer limited to tracking subscription renewals. Organizations increasingly need to understand how employees and AI systems use applications, what those activities cost and whether they comply with internal policies.
